SynergiseBI – Software as a Service (SaaS) Terms of Service

​

Effective Date: 2/7/25


These Terms of Service (“Terms”) govern your access to and use of the SynergiseBI software platform (“Service”), provided by SynergiseBI Ltd, a company registered in [England and Wales] under company number [09279278], with its registered office at Regus 1 Capital Quarter, Tyndall Street, Cardiff, CF10 4BQ

By registering for or using our Service, you agree to be bound by these Terms.

1. Definitions
​
  • "Client" / "You" means the company or individual entering into this agreement.

  • "Service" refers to the SynergiseBI platform and any associated tools, dashboards, or APIs.

  • "Subscription Plan" refers to the selected package of features and usage limits.

  • "Authorised Users" means employees or agents you permit to use the Service under your account.

2. Access and Use
​
  • SynergiseBI grants you a non-exclusive, non-transferable right to access and use the Service during the subscription term, subject to these Terms.

  • Access is limited to the number of Authorised Users specified in your plan.

3. Account Registration
​
  • You must provide accurate, current information and maintain the security of your login credentials.

  • You are responsible for all activity occurring under your account.

​

4. Subscription, Fees & Payment
​
  • Access to the Service is based on a paid subscription model.

  • Fees are billed in advance on a monthly or annual basis, as agreed.

  • All payments are non-refundable unless otherwise stated.

  • Failure to pay may result in suspension or termination of your account.

5. Data & Privacy
​
  • You retain ownership of all data you upload or input into the Service.

  • We will process and store your data in accordance with our [Privacy Policy].

  • You are responsible for the accuracy and legality of the data you provide.

​

6. Confidentiality
​
  • Both parties agree to keep confidential any non-public business, technical or financial information disclosed during the course of using the Service.

​

7. Restrictions
​

You agree not to:

  • Reverse engineer, decompile, or attempt to access the source code.

  • Resell, sublicense, or allow unauthorised access to the Service.

  • Use the Service for unlawful or unauthorised purposes.

​

8. Uptime & Support
​
  • SynergiseBI aims to provide 99.0% uptime, excluding planned maintenance.

  • Basic support is included in all plans. Premium support is available upon request and subject to additional fees.

​

9. Intellectual Property
​
  • All intellectual property rights in the Service remain with SynergiseBI.

  • You may not use SynergiseBI branding without prior written permission.

​

10. Consultancy
​
  • We (SBI) will provide implementation "Free" consultancy upon initial software setup

  • After "Free" consultancy SynergiseBI will charge a daily rate of £350 per day

​

11. Termination
​
  • Early termination clause with notice period: Either party may terminate the agreement with 30 days’ notice.

  • The SaaS agreement for packages is 6 months :

    • Strategy, insight, and performance tracking take time to generate trends.

    • A few months allow for onboarding, full adoption, and iteration is recommended 

  • We may suspend or terminate your access immediately if you breach these Terms.

  • Upon termination, your access will be revoked and your data will be retained for up to 30 days (unless agreed otherwise).

12. Limitation of Liability
​
  • To the maximum extent permitted by law, SynergiseBI will not be liable for indirect, incidental, or consequential damages.

  • Our total liability under these Terms shall not exceed the amount paid by you in the 12 months preceding the claim.

13. Warranties & Disclaimers
​
  • The Service is provided “as is” without warranty of any kind, except as expressly stated.

  • SynergiseBI does not guarantee that the Service will be error-free or uninterrupted.

​

14. Changes to Terms
​

We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

15. Governing Law
​

These Terms shall be governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
